Terms & Conditions

1. Introduction

These Terms and Conditions govern the provision of services by Innovecta Limited (“Innovecta”, “we”, “us”, or “our”) to its clients (“Client”, “you”, or “your”).

By engaging our services, you agree to be bound by these Terms and Conditions.

2. Services

Innovecta provides specialist consultancy, engineering support, project management, training, and technical documentation services relating to high-voltage overhead transmission line (OHTL) projects, typically within the 132 kV to 500 kV range.

All services are delivered based on agreed project scope, proposals, or written agreements.

3. Engagement & Scope

  • All work will be defined in a written proposal, agreement, or statement of work.
  • Any changes to scope must be agreed in writing by both parties.
  • Innovecta reserves the right to adjust timelines or fees where scope changes occur.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information required for service delivery
  • Ensure safe access to sites where on-site services are required
  • Comply with all applicable health, safety, and regulatory requirements
  • Appoint a suitable point of contact for project coordination

Innovecta shall not be liable for delays or issues caused by incomplete or inaccurate information provided by the Client.

5. Fees & Payment

  • Fees will be outlined in the agreed proposal or contract.
  • Unless otherwise agreed, invoices are payable within 30 days of issue.
  • Late payments may result in suspension of services and may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Reasonable expenses (e.g. travel, accommodation) may be charged where applicable and agreed in advance.

6. Confidentiality

Both parties agree to treat all confidential information as strictly confidential and not disclose it to any third party without prior written consent, unless required by law.

This obligation shall continue after the completion of services.

7. Intellectual Property

  • All intellectual property created by Innovecta (including reports, methodologies, training materials, and documentation) remains the property of Innovecta unless otherwise agreed in writing.
  • The Client is granted a non-exclusive, non-transferable licence to use such materials for their internal business purposes only.
  • Materials may not be reproduced, distributed, or shared externally without written consent.

8. Limitation of Liability

  • Innovecta provides services using reasonable skill, care, and industry expertise.
  • However, all services are advisory in nature and final decisions remain the responsibility of the Client.
  • Innovecta shall not be liable for:
    • Indirect or consequential losses
    • Loss of profit, revenue, or business
    • Delays or failures caused by third parties or external factors

Innovecta’s total liability shall not exceed the total fees paid for the specific services giving rise to the claim.

9. Health & Safety

  • Innovecta operates in accordance with recognised international health and safety practices.
  • When working on-site, the Client remains responsible for site safety, compliance, and risk control.
  • Innovecta personnel reserve the right to refuse work in unsafe conditions.

10. Project Delays & Force Majeure

Innovecta shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters
  • Industrial disputes
  • Travel restrictions
  • Government actions
  • Site access limitations

11. Termination

Either party may terminate an agreement:

  • With written notice as defined in the contract, or
  • Immediately in the event of material breach by the other party

The Client shall pay for all work completed up to the date of termination.

12. Training Services

For training services:

  • Attendance and participation are the responsibility of the Client
  • Innovecta does not guarantee certification unless explicitly stated
  • Training is delivered based on industry best practices but does not replace formal regulatory qualifications unless specified

13. Use of Technical Documentation

  • Innovecta’s technical documents and library materials are developed based on industry experience and best practices
  • They are provided as guidance and must be reviewed and adapted by the Client to suit specific project conditions
  • Innovecta accepts no liability for misuse or misapplication of documentation

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Updates to Terms

Innovecta reserves the right to update these Terms and Conditions at any time. Updated versions will be published on the company website.
